1. Acceptance of Terms & Legal Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and JEJ (“JEJ”, “we”, “our”, or “us”), governing your access to and use of our web applications, native mobile applications, tools, and APIs located at jej.app, app.jej.app, the Apple App Store, and the Google Play Store (“Services” or “Platform”).

By accessing, registering for, downloading, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any provision of these Terms, you must immediately cease accessing and using all JEJ services.

2. Eligibility, Minors & Account Security

You must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) to independently enter into this agreement. If you are between 13 and 18 years old, you may only use the Services with the express consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

• Minor Depiction Warranty: By uploading any photograph or media containing a minor, you legally affirm, warrant, and certify that you are the parent or legal guardian with full authority to process and synthesize that image.
• Account Credentials: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. JEJ cannot and will not be liable for any losses arising from unauthorized access resulting from your failure to safeguard credentials.

3. Artificial Intelligence (AI) Services & Technical Limitations

You expressly acknowledge and agree:

• Non-Reliance Disclaimer: AI-generated content may be inaccurate, hallucinated, or contain visual artifacts. Generative outputs must NOT be considered factual statements or relied upon for medical, legal, financial, architectural, or emergency decision-making.
• Output Similarity Disclaimer: Due to the mathematical and probabilistic nature of generative models, identical or similar prompts submitted by different users may produce similar or overlapping outputs. Coincidental similarity does not constitute copyright copying or an infringement of rights.
• Zero Foundation Model Training: JEJ does NOT use your private uploaded photos, prompts, or generated assets to train or improve public foundation models, and third-party compute providers are contractually prohibited from using your data for model training.

4. Intellectual Property, Outputs & Commercial Rights

The division of intellectual property rights on JEJ is structured as follows:

• User Uploaded Content: You retain all ownership rights in the original photographs, reference images, and text prompts you submit. You grant JEJ a worldwide, royalty-free, non-exclusive license strictly necessary to host, process, encode, and transmit your data to deliver the requested generations.
• Commercial Rights on Paid Plans (Pro & Ultra): As between you and JEJ, subject to your full compliance with these Terms and an active paid subscription, you own all right, title, and commercial interest in the generated imagery and videos created by you, including unrestricted rights to publish, monetize, license, and commercially exploit the outputs.
• Free Tier Outputs: Assets created on the Free tier are licensed solely for personal, non-commercial, evaluation purposes.
• Platform Intellectual Property: JEJ retains all right, title, and interest in and to the platform source code, algorithms, user interface, brand assets, logos, design system, and proprietary model weights.

5. Acceptable Use Policy & Zero-Tolerance Violations

You agree not to use the Platform, its generation pipelines, or generated content for any unlawful, deceptive, or harmful activity. The following actions are strictly prohibited:

6. Likeness Warranties & Right-of-Publicity

When using JEJ face-swapping, portrait generation, or personalized avatar training:

• You warrant and guarantee that you are either the individual depicted, or have obtained explicit, written, and legally binding consent from the person depicted to upload their likeness.
• You agree not to upload photographs of celebrities, influencers, or private citizens without verifiable commercial licensing or authorization.
• You agree to fully indemnify and hold harmless JEJ from any third-party right-of-publicity or likeness claims arising from your uploads.

7. Subscriptions, In-App Purchases, Billing & Refunds

JEJ offers digital subscription plans (Basic, Pro, Ultra) and credit packages across web and mobile platforms:

• Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless cancelled at least 24 hours prior to the renewal date.
• Mobile In-App Purchases (Apple & Google): For purchases made through the Apple App Store or Google Play Store, billing, renewal, and refunds are managed exclusively by Apple or Google under their respective terms. JEJ does not have the technical or legal capability to process, approve, or issue refunds for transactions conducted through Apple or Google in-app purchase systems.
• Web Purchases & Digital Sales Finality: Because AI cloud compute and GPU inference cycles are consumed irreversibly upon generation, web-based subscription payments and credit top-ups are strictly non-refundable once generation has commenced or credits have been utilized, except where mandated by statutory consumer protection regulations.
• Cancellation: You may cancel your subscription at any time via your account dashboard or your mobile app store subscription settings. Upon cancellation, you retain access until the end of your prepaid period.

8. Third-Party Platforms & Infrastructure Dependencies

Our Services rely upon third-party providers including Apple, Google, Cloudflare, Stripe, RevenueCat, AWS, RunPod, and fal.ai. JEJ is not liable for temporary service interruptions, latency, or outages originating from upstream third-party cloud infrastructure or network providers.

9. Service Availability, Maintenance & Modifications

We strive to provide continuous platform availability, but we do not guarantee uninterrupted, error-free service. We reserve the right to perform scheduled and emergency maintenance, update algorithms, or discontinue legacy model checkpoints without prior notice.

10. DMCA Copyright Claims & Designated Agent

JEJ respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed by content hosted on the Platform, submit a formal written notice to our designated agent at hi@jej.app containing:

• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material on our platform (including direct URLs).
• Your contact information (name, address, telephone number, email).
• A statement under penalty of perjury that you have a good-faith belief that the use is unauthorized and that you are the copyright owner or authorized representative.
• A physical or electronic signature of the copyright owner or authorized agent.

11. Disclaimer of Warranties

THE PLATFORM, ITS ARTIFICIAL INTELLIGENCE MODELS, AND ALL GENERATED OUTPUTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JEJ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR INFRASTRUCTURE PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS REPUTATION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, AI OUTPUTS, OR INABILITY TO ACCESS THE PLATFORM.

IN NO EVENT SHALL JEJ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE AMOUNT PAID BY YOU TO JEJ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless JEJ, its officers, directors, employees, contractors, and partners from and against any claims, liabilities, damages, losses, costs, or legal fees arising from or related to: (a) your use of the Services; (b) any photographs, media, or prompts you upload; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party copyright, trademark, privacy, or right-of-publicity.

14. Dispute Resolution, Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER:

• Informal Resolution: Before initiating formal proceedings, you and JEJ agree to make a good-faith effort to resolve any dispute through informal negotiation by contacting hi@jej.app.
• Binding Arbitration: Any dispute, controversy, or claim not resolved informally shall be resolved exclusively through final and binding individual arbitration administered under the commercial rules of the American Arbitration Association (AAA) or equivalent international arbitration body.
• CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

15. Governing Law

These Terms and any related disputes shall be governed by and construed in accordance with the substantive laws applicable to commercial digital software agreements, without regard to conflict of law principles.
